Short answer: SMEDA hosts business-to-business contract templates on its website, in English and Urdu, grouped by type. Open the commercial contracts page, pick a category such as Employment, Sales and Marketing or Small Shopkeepers Terms and Conditions, and use the template as a draft. Have a lawyer check it before both sides sign.

A handshake deal works until the day the money is late. A supplier delivers half the order. A freelancer disappears with an advance. A customer says the price was different. In every case, the first question is the same: what did we agree in writing?

We opened the Small and Medium Enterprises Development Authority's commercial contracts page on 13 October 2026. This guide explains what it lists and how to use a template safely. We did not read each template, so we describe the page and not the legal wording inside any single file.

The page lists contract templates by business type

SMEDA introduces the page with a simple idea: contracting is at the heart of business development, and a firm that outsources work needs reliable partners and contracts that protect its interests. The templates are meant to show the format and content of common business-to-business agreements.

On the day we read it, the page showed these groups, with the number of documents beside each.

Other groups include Company Forms with 13, Operations and Logistics with 12, Import Export with 10, Intellectual Property with 10, Real Estate with 10, Sales and Marketing with 10, Business Protection with 10, Consultants and Contractors with 9, General with 7, Immovable Property with 6, Insurance with 6 and Agro Services with 2. There is also an Urdu version of the page.

Pick the template that matches your deal

Start with what you are doing, not with the longest category. A freelancer who sells design work should look at Services and Internet and Technology. A shop owner who wants simple terms for customers should look at Small Shopkeepers Terms and Conditions. A firm that hires staff should open Employment.

  1. Write one line that describes the deal and who is paying whom.
  2. Open the SMEDA contracts page and pick the closest category.
  3. Read two templates in that category and choose the clearer one.
  4. Copy it into your own document and remove clauses that do not fit.
  5. Fill in names, dates, amounts and delivery terms.
  6. Have a lawyer read it, then sign and keep a copy each.

Do not sign a template that still contains blanks or someone else's company name. That happens more often than you would think.

Six steps to choose and complete a SMEDA contract template

Check the basics in any contract

Whatever the template, a short contract should answer a few plain questions. Who are the two parties, with full names and addresses? What exactly is being sold or done? What is the price, and on which date is each payment due? What happens if a delivery is late? How can either side end the deal?

Add a line on how disputes are settled and which city's courts are used. Put the contract date at the top. And write amounts in numbers and in words, because a number can be changed by hand.

These are general points, not a legal opinion. A lawyer can tell you which clauses a court in your province will enforce.

Know what a template cannot do

A template is a draft written for a general case. It does not know your product, your customer or your risks. It also cannot make an unfair term fair.

The SMEDA page carries an All Rights Reserved notice, and we could not read a full disclaimer in the page text we saw. So treat the files as guides to format and content, which is how SMEDA itself describes them, and check the page for any terms on reuse before you share them widely.

For deals that involve property, read the rules on stamp duty and registration for your province. The page on rent agreements and stamp paper shows how stamp paper works in practice, and the one on registering an agreement to sell in Punjab covers property sales.

Use the right template for staff and freelancers

An Employment template helps you set out pay, hours, leave and notice. Spell out the pay date and the notice period, so neither side is surprised. If someone works for you without a contract, they may still have rights under labour law.

For freelance clients, a services agreement should say what the final product is, how many revisions are included and when the last payment is due. If you earn from abroad, you should also think about how you will be paid. The page on getting paid as a freelancer in Pakistan compares the options.

Keep the signed contract with your invoices. If a dispute starts, you will need both.

Pair contracts with a business plan

A good contract follows a good plan. If you are still planning, start with a SMEDA pre-feasibility study to cost your idea, then use a template to write the first supplier or customer agreement.

When the business grows, you may need to register it. For a company, read how to register a private limited company with SECP.

Common questions

Where are SMEDA contract templates?

On the commercial contracts page of the SMEDA website, with an English and an Urdu version.

What types of contract does SMEDA list?

It lists groups such as Services, Manufacturing, Employment, Trading, Import Export, Internet and Technology and Small Shopkeepers Terms and Conditions.

Can I use a template without a lawyer?

You can start with it, but have a lawyer check it before signing, because a template does not know your deal.

Is there a template for a shop's terms?

The page lists a Small Shopkeepers Terms and Conditions group with 17 documents.

Are the templates legally binding?

A contract becomes binding when the parties agree and sign it. The template is only a starting draft.

Does SMEDA say the templates are free?

We saw no price, but the page text we read did not state terms of use either, so check the page before you reuse them.

How we verified this

What we checked, where we read it, and what we could not confirm.

Last checked on 13 October 2026, Pakistan time. We read the SMEDA commercial contracts page for its introduction and category counts. We did not read the wording of individual contracts, and the counts may change. This is general information and not legal advice.
